As the term “unilateral” suggests, this type of NDA is one-way, where one party discloses confidential information to another party. Unilateral confidentiality agreements are often used in employer-employee situations, sharing of trade secrets or business development plans, intellectual property rights, and financial information. 
 
The NDA for intellectual property protects the intellectual property assets of the owner, including the confidentiality and control of the said assets.
